Proven experience

The Project & Structured Finance Team has acted for both lenders and borrowers in project, infrastructure and general commercial financing, as well as advising on complex regulatory issues affecting banks and financial institutions. 

We have extensive experience in dealing with clients' taxation and accounting advisers to ensure tax-driven solutions are implemented in a cost effective manner.

We also have considerable experience acting for local subsidiaries of large foreign banks advising on the restructure of their operations and also foreign banks, financial institutions and financial service providers on establishing and expanding their operations in Australia.


Property and commercial financing

  • Loan facility documentation and priority arrangements
  • Security documentation including charges, real property mortgages, equitable mortgages and guarantees
  • Builders’ side deeds protecting financiers in property / construction financing transactions
  • Syndicated facility and security documentation for complex financing transactions including subparticipation documentation
  • Borrower compliance with requirements of lenders including lending and security documentation

Corporate financing

  • Acquisition financing and leveraged financing
  • Dealing with financial assistance issues facing both borrowers and lenders

Asset financing

  • Equipment finance documentation and bailment and floor plan agreements
  • Securities to secure obligations under equipment financing transactions

Debt capital markets

  • Acting for Lead Managers and Arrangers in drafting documentation for borrowers raising funds in both domestic and overseas markets whether through CP or MTN programmes or other debt instruments
  • Acting for borrowers in reviewing documentation and issuing legal opinions for raising funds in both domestic and overseas markets
  • Acting for borrowers in drafting documentation of hybrid instruments including convertible loan notes

Working closely with the relevant regulators we seek to minimise the regulatory impact upon our clients’ commercial interests. We seek to ensure our clients’ response to regulatory issues adequately protects their interests, complies with the law and is appropriately managed and structured.
